Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Pixel Venue Studio platform, websites, and related services (collectively, the "Service") provided by Pixel Venue Labs Inc. ("Pixel Venue Labs," "we," "us," or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms.
1. Overview of the Service
Pixel Venue Studio provides tools to plan, generate, manage, and collaborate on marketing assets, including AI-assisted image and video generation, campaign configuration, and asset galleries.
2. Agreement to Terms
By using the Service, you represent that you are at least the age of majority in your jurisdiction, have the authority to enter into these Terms, and will comply with all applicable laws. If you are using the Service on behalf of a company or other entity, "you" includes that entity and you represent and warrant that you are authorized to bind that entity to these Terms.
3. Eligibility and Accounts
- Account Registration: You must provide accurate, current, and complete information and keep it updated.
- Security: You are responsible for safeguarding your account credentials and for all activity on your account.
- Prohibition on Transfer: You may not sell, transfer, or assign your account or any account rights.
4. User Content and Generated Output
User Content: Content you submit, upload, or otherwise provide to the Service (e.g., prompts, images, brand assets, campaign data) remains yours. You grant Pixel Venue Labs a worldwide, non-exclusive, royalty-free, sublicensable license to host, process, display, copy, and create derivative works of your User Content solely to provide, maintain, secure, and improve the Service and as otherwise permitted by these Terms.
Generated Output: Subject to applicable law and any third-party model provider terms, you own your generated images, videos, and other outputs ("Output"). You are responsible for your use of Output, including ensuring it does not infringe rights or violate laws or these Terms.
Prompts and Settings: To provide and improve the Service, we may store your prompts, settings, and generation metadata. For details, see our Privacy Policy.
No Training on Private Inputs Without Consent: We do not use your non-public User Content to train our models without your permission. We may use aggregated, de-identified data to improve the Service.
5. Acceptable Use
You agree not to, and not to enable others to:
- Use the Service for unlawful, harmful, deceptive, defamatory, harassing, hateful, or violent activity.
- Upload or generate content that infringes or misappropriates intellectual property, privacy, or publicity rights.
- Attempt to re-identify individuals from de-identified data or generate content that impersonates private individuals without consent.
- Reverse engineer, interfere with, or disrupt the Service; bypass security or rate limits; or use automated means without authorization.
- Use Output or the Service to create or disseminate malware or content intended to cause physical or economic harm.
- Train competing models on the Service's outputs where prohibited by applicable third-party terms or these Terms.
6. Third-Party Services and Models
The Service may integrate third-party model providers and services. Your use of such integrations may be subject to additional terms and policies of those providers. We are not responsible for third-party services and make no guarantees regarding their availability, quality, or compliance.
7. Fees, Billing, and Taxes
Certain features may be offered for a fee or usage-based charges. If you purchase paid features, you agree to pay all applicable fees, taxes, and charges according to the pricing, billing cycle, and payment terms presented at checkout. Unless stated otherwise, fees are non-refundable to the fullest extent permitted by law. We may change prices with reasonable notice as required by law.
8. Intellectual Property
We retain all right, title, and interest in and to the Service, including software, user interfaces, workflows, and trademarks. Except for the limited rights expressly granted to you under these Terms, we do not grant you any other rights in the Service or our intellectual property.
9. Confidentiality; Privacy
You may receive non-public information about the Service. You agree to keep such information confidential and use it only to access the Service as permitted. Our collection and use of personal data are described in our Privacy Policy.
10. Copyright Complaints (DMCA)
If you believe that content on the Service infringes your copyright, please send a notice to the contact below with sufficient detail to identify the material and your rights. We may remove or disable access to the allegedly infringing material and may terminate repeat infringers.
11. Disclaimers
YOUR USE OF THE SERVICE AND ANY OUTPUT IS AT YOUR SOLE RISK. THE SERVICE AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUTPUT WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR MEET YOUR REQUIREMENTS.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL PIXEL VENUE LABS INC. OR ITS AFFILIATES, LICENSORS, OR PROVIDERS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR USE. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO PIXEL VENUE LABS FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) USD $100.
13. Indemnification
You will indemnify and hold Pixel Venue Labs and its affiliates harmless from any claims, losses, and expenses (including reasonable attorneys' fees) arising from or relating to your use of the Service or Output, your User Content, or your violation of these Terms or applicable law.
14. Term and Termination
These Terms remain in effect while you use the Service. We may suspend or terminate access if you violate these Terms or if required by law or to protect the Service. You may stop using the Service at any time. Upon termination, your right to access the Service ends, but sections that by their nature should survive will survive (including payment obligations, IP, confidentiality, warranty disclaimers, limitations of liability, and indemnity).
15. Changes to the Service and Terms
We may modify the Service and these Terms. If changes are material, we will provide notice as required by law. Continued use of the Service after the effective date of changes constitutes your acceptance of the updated Terms.
16. Governing Law; Venue
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Wilmington, Delaware for any dispute that is not subject to an alternative dispute resolution mechanism required by law.
17. Export and Sanctions
You may not use the Service if you are located in or a resident of a jurisdiction embargoed by the United States or if you are on a U.S. government restricted party list. You agree to comply with all applicable U.S. export control and sanctions laws.
18. Electronic Communications; Notices
By using the Service, you consent to receive notices and communications electronically. We may provide notices by email, within the Service, or by posting on our website. You are responsible for keeping your contact information current.
19. Entire Agreement
These Terms, together with any policies or terms referenced herein (including our Privacy Policy), constitute the entire agreement between you and Pixel Venue Labs regarding the Service and supersede any prior or contemporaneous agreements.
